Examples of work

Oxford City Council

We advised on the £500 redevelopment of the Westgate Oxford shopping centre, anchored by John Lewis. We negotiated a new development agreement with rent sharing lease with the developer (Land Securities / The Crown Estate) and advised on CPO, planning and highways aspects. Our advice has extended to construction, environmental, tax, procurement and competition law aspects.  

Associated British Ports and The Crown Estate

We acted for both Associated British Ports and The Crown Estate on a development Agreement for a £400m major redevelopment of 24 hectares of Southampton waterfront. The Development Agreement was exchanged in February 2014. Associated British Ports, The Crown Estate and Southampton City Council are the three participating landowners in the Royal Pier Scheme which is being promoted by RPW (Southampton) a joint venture between Morgan Sindall Investments Limited (MSIL) and funding provided by Lucent Group. If it achieves unconditionality, the transaction will involve a land reclamation project, the relocation of a ferry service and the development of a mixed use waterfront scheme. The development will take place over a 20 year timeframe.

Fruit Market, Hull (Wykeland Beal Limited)

A large regeneration scheme comprising several sites, we are acting for the developer. As well as complex site assembly and development agreements including conditions, overage, KPIs and extension provisions, we have set up a Limited Liability Partnership joint venture vehicle for one of the phases, jointly owned by our client and Hull City Council. Our advice has included procurement, tax, SDLT, highways, planning and site assembly and we have been involved in lengthy negotiations with the Council, requiring us to find solutions acceptable to all parties.

Commercial Estates Group

We act for Commercial Estate Group (CEG) on multiple development transactions involving site assembly through conditional contracts, options, promotion agreements, collaboration and development agreements. An example being a 600 plus acre site for potential “work live play” development abutting the M40 in Warwickshire with a consortium of landowners who established a “land pool trust” and granted a hybrid promotion agreement with an inbuilt conditional option in favour of CEG to acquire the commercially consented land as part of an overall mixed use residentially led scheme with a district centre to be promoted by CEG.

The Bournemouth Development Company LLP

A 50/50 LABV between Morgan Sindall Investments Limited and Bournemouth Borough Council, the LLP has to date delivered over £45m of development since 2011 contributing to the holistic and strategic regeneration of the local area and we have acted for the LLP on all three of these projects, including the forward funding of a development of student accommodation, a 64 apartment residential-led mixed use scheme and a car park.
