Examples of work

Buying Services Agreement with The Co-operative, acting for five Independent Regional Co-operative Societies

  • We were instructed by the five largest regional independent co-operative societies to act for them on their Buying Services Agreement (BSA) with Co-operative Group Limited in Manchester. The BSA details the arrangements under which Group provides central collective buying services, including negotiating and buying products from suppliers, for the retail food and supplies businesses operated by Group and the independent co-ops from about 2,800 Co-operative Food stores.

English Heritage – Demerger

  • Our team acted for English Heritage in its complex and long running project to restructure its business by transferring the part which operates, maintains and promotes the National Heritage Collection of about 400 historic sites into the management of a new charitable body, in order to enable it to operate under a modern commercial model. We were responsible for all legal aspects of this transformative project including property, commercial, pensions, intellectual property, data protection and employment and drafted and helped English Heritage finalise the main agreement, the Property Licence and Operating Agreement and the Shared Services Agreement under which the existing and new bodies have agreed to share facilities for a transitional period.

Post Office Ltd – Network Transformation

  • The Network Transformation Programme is the largest project in Post Office Limited’s history and is supported by a £1.94bn funding package from Government to modernise and invest in the Post Office network, including moving 8,000 of the 11,500 branches in the network on to new operating model contracts. Lawyers in our commercial contracts team have a significant role in supporting the in-house team in developing the implementation methodology, as well as generating and managing the development of all documents used in the Programme, including the new model contracts.


Our team was engaged to provide an effective replacement for the in-house legal team following the sale of Innovia by UCB. We advised in relation to:

  • The establishment of a new business to complement the two core businesses which manufacture speciality films (Innovia Films) and supply the Guardian substrate used for polymer banknotes (Innovia Security)
  • The engagement of consultants and directors that have assumed responsibility for running the new business
  • A full suite of contracts to govern the manufacture, distribution and sale of the new devices to be marketed. In support of the contracts we produced a tool kit comprising checklists, protocols and guidance for the management and sales teams of the new business with respect to the associated contractual, anti-bribery and compliance considerations.

TSB Bank

  • Since June 2014 (when Lloyds divested a significant share of its ownership in TSB) we have been the predominant external supplier of commercial legal services to TSB.  During this time we have provided three secondees to the bank as well as advised on a large number and variety of commercial arrangements.
