Our derivatives and debt capital markets expertise sets us apart from many other firms, as well as our expertise in specialist transactions; unique to the sectors in which we work.  This includes advising care home businesses, social housing providers and educational establishments in relation to financing transactions, real estate finance and corporate finance work, energy finance (both in relation to our international oil and gas practice and renewable energy, where we have one of the UK's leading practices) and property finance.

Examples of work

  • Acting for lenders on the provision of banking facilities to a major brewery in the south of England, including the provision of a £20 million revolving credit facility featuring an embedded derivative enabling the borrower to draw down at a fixed or floating rate.
  • Advising a listed housing developer in relation to aggregate £230 million term and revolving facilities from a club of lenders which will enable them to further their long term development strategy.
  • Advising the trustee of a pension scheme on a complex cross border structured reinsurance transaction relating to an annuity contract entered into by the trustee. As part of the transaction, advice was given to the trustee in relation to structuring and security issues, which included amongst other things, a parent guarantee, a deed of charge over a cash and securities account, a security assignment and charge and related documentation.
  • Acting for the lender on a £66.5 million facility to the owners of a substantial property asset in the UK, in order to provide for remedial and development works at the property.
  • Acting for a leading renewable energy project developer on the renegotiation and renewal of its main £75 million banking facilities, used for core working capital to support the development of the company's UK and European wind farm portfolio. Part of the transaction entailed overseeing the granting of new security and legal opinions from the borrower's US and European subsidiaries.
  • Acting for a listed defence company in relation to the £140 million refinancing of its UK banking arrangements with a club of 3 core lenders. We assisted the company and their UK debt advisors in preparing term sheets for negotiation with all of its existing banks which culminated in the refinancing and separating out of the facilities into a Common Terms Structure to meet the company's commercial requirements in relation to its trading and bonding bi-lateral facilities.
